Pursuant to the terms of the Licensing Agreement, the Company will own a worldwide, exclusive license (including the right to sub-license), to make, use, export, offer for sale and sell Licensed Products which are covered by US Patent No. 5,243,798 (the "798 Patent"). To acquire the patented technology, the Company agrees to issue 3,100 shares of its common stock to the licensor and pay a 5% royalty fee from the net sale price of the licensed products. This 798 Patent covers the use of a solid state ophthalmic laser apparatus for photocoagulating and photoablating ocular tissue.
