) acknowledged today that it had entered into discussions with its majority-owned Canadian subsidiary, Cableshare, Inc. (CSH csh - C shell .A, CSH.B/TSE), an Ontario, Canada corporation, regarding the possibility of Source Media acquiring the outstanding shares of Cableshare stock that it does not already own. Cableshare announced after the close of the market on July 23, 1996 that it had entered into such discussions.

The discussions to date between the two companies have been tentative and preliminary, and agreement-in-principle has not been reached between the companies on essential commercial terms and conditions. Any such transaction would depend on the negotiation of a mutually satisfactory definitive agreement containing such terms and conditions, obtaining applicable governmental and regulatory approval, and the approval of Cableshare's stockholders other than Source Media. Source Media has not made a specific proposal.

Source Media is a leader in the interactive programming and service industry. Source Media's Interactive Channel, an online television browser and programming service, is capable of delivering interactive news, weather, sports, shopping and educational services on demand over today's cable systems. Interactive Channel is scheduled to launch this fall in Colorado Springs Colorado Springs, city (1990 pop. 281,140), seat of El Paso co., central Colo., on Monument and Fountain creeks, at the foot of Pikes Peak; inc. 1886.
