Solar Announces Diatom's Offer to Acquire Planktos.VANCOUVER, British Columbia -- Solar Energy Limited (OTCBB OTCBB See OTC Bulletin Board (OTCBB). :SOLAR) ("Solar") today announced that it has received an amended offer from Diatom diatom (dī`ətŏm', -tōm'), unicellular organism of the kingdom Protista, characterized by a silica shell of often intricate and beautiful sculpturing. Most diatoms exist singly, although some join to form colonies. Corp. The offer is subject to Solar providing a satisfactory ongoing management team for Planktos and to DTMC demonstrating that it has $2 million in unfettered working capital available for Planktos to complete its 12 month business plan. It is proposed to change the name of Diatom Corp. to Planktos Corp. Solar has less than 20 million shares outstanding and would be reviewing the option of whether to dividend the shares of DTMC to Solar shareholders or to retain in total the 30 million shares and the decision to do so will be based in part on income tax considerations both for Solar and its shareholders. This offer is further subject to the execution of a definitive agreement and obtaining the approval of Solar's Board of Directors, Diatom's Board of Directors, and Diatom's shareholders.
