Smaller Firms Can Raise Public Sector Capital.

The SEC, apparently realizing that a gap existed in the financing opportunities for smaller businesses, under-took major new initiatives to zero in on the capital needs of smaller businesses. The efforts of the SEC culminated in final rules adopted in April, 1993.

A small-business issuer is an entity other than an investment company that meets all of the following tests for each of its last two fiscal years:

* Annual revenues of less than $25 million.

* Aggregate market value of voting stock Voting stock

The shares in a corporation that entitle the shareholder to vote.
