1. The amendment of its Stock Option Plan to increase the maximum
number of Shares reserved for issuance, from a rolling 10% of
issued and outstanding shares to a fixed number of shares which
is 987,249.
2. The private placement of convertible debenture was closed
following approval from shareholders on December 22nd 2005 in
the following conditions:
Private placement of convertible debenture for an amount of
$300,000 with the company Bergeron, Senecal Inc. The maturity
date of the debenture is September 29, 2007 and the principal
is convertible into 1,000,000 common shares at a price of 0.30
cents per share. Also attached to the debenture are 1,000,000
share purchase warrants. Each share purchase warrant may be
exercised until September 29, 2007 at an exercise price of 0.30
cents.
3. A one year extension of the expiry date of warrants issued as a
compensation for $210,000 loans made by Directors in December
2003 (the "Directors' Loans"). The 279,999 warrants at $0.105
scheduled to expire on December 10, 2005 will expire on
December 10, 2006 and the 533,331 warrants at $0.14 scheduled
to expire on December 22, 2005 will expire on December 22,
2006"
