HONG KONG--(BUSINESS WIRE)--May 29, 1998--Semi-Tech Corporation today announced that its approximately 43% owned affiliate Semi-Tech (Global) Company Limited, issued the following announcement related to the May 27, 1998 proposed bonus issue of warrants.

Semi-Tech Corporation is a Canadian-based multinational company engaged in the global marketing and distribution of consumer products for the home, principally through its subsidiaries and affiliates. Semi-Tech's shares are listed on The Toronto Stock Exchange Toronto Stock Exchange (TSE)

Canada's largest stock exchange, trading approximately 1,200 company stocks and 33 options.
 (Class A: SEM.A; Class B: SEM.B). Shares of Semi-Tech (Global) Company Limited are listed on The Stock Exchange of Hong Kong Stock Exchange of Hong Kong (SEHK)

-- Reference is made to the announcement ("Announcement") by the Company dated 27th May, 1998 in relation to, inter alia [Latin, Among other things.] A phrase used in Pleading to designate that a particular statute set out therein is only a part of the statute that is relevant to the facts of the lawsuit and not the entire statute. , a bonus issue of warrants ("Bonus Warrant Issue ") to holders of existing warrants expiring in 1998 ("Existing Warrants") which appeared in the press on 28th May, 1998.

-- The Bonus Warrant Issue is withdrawn for the reason set out below.

The Stock Exchange of Hong Kong Limited has informed the Company after the Announcement was published that it would not approve the Bonus Warrant Issue for the reason that the proposal does not strictly fall within certain sections of the Rules Governing gov·ern  
v. gov·erned, gov·ern·ing, gov·erns

 the Listing of Securities on the Stock Exchange of Hong Kong Limited (so far as they relate to the issue of bonus warrants to existing warrantholders).

In view of this decision, the directors of the Company will withdraw the proposal for the Bonus Warrant Issue and appropriate disclosure will be made in the circular to shareholders (and for information only, to warrantholders) to be despatched together with the annual report. The book closure arrangements between 16th July, 1998 to 23rd July, 1998 for the Existing Warrants will accordingly be cancelled.
