Parametric Technology Corporation (PTC)(NASDAQ: PMTC) provides Product Lifecycle Management (PLM) engineering CAD/CAM software and content management and dynamic publishing solutions to more than 40,000 companies worldwide.

The action charges that Parametric Technology Corp. issued materially false and misleading statements during the Class Period about the results for its 1998 fiscal third quarter.

In particular, it is charged that, commencing April 21, 1998, Parametric's top officers and certain directors began selling $10.5 million of their common stock while in possession of material non-public information that Parametric would fall well short of revenue and earnings expectations for its 1998 fiscal third quarter.
