On June 29, 2001, subject to shareholders approval, the Board of Directors of the Company adopted a resolution changing its name to SciLabs Holdings, Inc., effective as of the opening of business on July 17, 2001. The matter had been approved by a vote of the majority of the shareholders, by written consent and without the solicitation of proxies. The consent was deemed effective as of May 18, 2001.
