 Technologies' president and COO, was named CEO (1) (Chief Executive Officer) The highest individual in command of an organization. Typically the president of the company, the CEO reports to the Chairman of the Board. .

Cooke replaces W. Gerald Newmin, whose retirement was announced in September 2002. In addition to his expanded role as CEO, Cooke will maintain his responsibilities as president and COO.

Cooke joined the Company in September 2001 as vice president, corporate development, was elected to the SYS Technologies' Board of Directors in November 2001, and became President and COO in January 2002. Previously, he was the general manager and CEO of the $170 million Titan Technologies Division of Titan Corp., a billion-dollar diversified technology company. Cooke was founder and CEO of VisiCom Laboratories, which grew to over $50 million in revenue. Prior to starting VisiCom in 1988, Cooke was also founder and CEO of Advanced Digital Systems, which provided engineering services for DoD satellite programs. He holds a BA degree in Applied Physics and Information Science from the University of California, San Diego UCSD is consistently ranked among the top ten public universities for undergraduate education in the United States by U.S. News & World Report.[3] It is a Public Ivy. Also at the meeting, the Company re-elected five directors and elected two new directors, maintaining the board's seven member size, with each member serving a one-year term and until their respective successors are elected.

David A. Derby, 60, was named chairman of the board, replacing Newmin, who served as chairman of the board since 1999. Derby, who has served on the board since November 2001, is a business consultant serving NYSE NYSE

In addition, Page is the former chairman of Enova Corp. and San Diego Gas & Electric Co. (SDG&E) and currently serves as chairman emeritus of both companies. Prior to the formation of Sempra Energy Corp. as a holding company in 1996, Page was SDG&E's chairman, president and CEO. Page joined SDG&E in 1978 as executive vice president and COO. In 1981, he was elected president and CEO and added the chairmanship in 1983. Page earned his B.S. degree in Civil Engineering and his Masters in Industrial Administration from Purdue University, where he was awarded a Doctorate in Management in 1994.
