APPOINTMENT OF RICHARD W. VIESER AND DON H. DAVIS JR. AS DIRECTORS
 MILWAUKEE, July 28 /PRNewswire/ -- Sybron Corp. (NYSE: SYB) (formerly Sybron Acquisition Co.) today announced its financial results for the third quarter of fiscal 1992, the quarter ended June 30, 1992. Sybron also announced the appointment of Richard W. Vieser and Don H. Davis Jr. to its board of directors.
 Third Quarter Financial Results
 Net sales for the third quarter totaled $97.9 million compared to $89.8 million for the same period of fiscal 1991, an increase of 9 percent. Net sales for the first three quarters of fiscal 1992 totaled $282.5 million, up $21.8 million, an 8.4 percent gain over the same period of fiscal 1991.
 Sybron had net income of $6.7 million for the third quarter of the current fiscal year, up 59.5 percent from the like period a year ago, and net income of $14.2 million for the first three quarters of fiscal 1992, a $15 million increase from the corresponding 1991 period which reflected a loss of $0.8 million. The corresponding first three quarters of fiscal 1991 reflected a one-time charge of $4.8 million for a change in accounting principle related to post-retirement benefits.
 Cash flow continues to be strong, as earnings before interest, taxes, depreciation and amortization (EBITDA) for the quarter were $26.5 million as compared to $24.4 million for the same quarter of 1991, an 8.6 percent increase. For the first three quarters of the current fiscal year, EBITDA totaled $73.6 million, a gain of 13.9 percent over the same period a year ago.
 Sybron Corp. completed an initial public offering in May of this year with proceeds to the company in excess of $109 million.
 For comparative purposes, assuming the May 7, 1992, initial public offering had taken place on the first day of each of the 1992 and 1991 periods, net income would have been $6.8 million or 30 cents per share on a fully diluted, pro forma basis for the third quarter of the current fiscal year, up 54.5 percent from $4.4 million or 20 cents per share for the like pro forma period of a year ago. For the first three quarters of the current fiscal year, net income would have been $14.8 million or 66 cents per share on a fully diluted, pro forma basis, an increase of $14.8 million from a $19 thousand loss on a pro forma basis a year ago.
 Such pro forma results are calculated assuming a reduction in interest expense based upon a repayment of approximately $17.3 million in bank debt and reductions inn preferred stock dividends due to the redemption of $92.5 million of Sybron's senior preferred stock from the proceeds of the initial public offering.
 Sybron Corp.'s subsidiaries design, manufacture and market laboratory and dental supply products worldwide. Brands include Erie Scientific laboratory microscope slides, Nalge Company reusable and high value disposable plastic labware, Barnstead Thermolyne precision heating and stirring apparatus and water purification systems for laboratories, Ormco orthodontic products and Kerr dental materials.
 Kenneth F. Yontz, chairman, president and chief executive officer, said the company's operating results for the third quarter of fiscal 1992 are on target with the company's expectation, and that the operating margins for the fiscal year to date increased to 19 percent from 16.4 percent for the corresponding period of a year ago.
 Yontz further stated, "Strength in Sybron's foreign markets continues to bolster our overall revenues as we expend more energy and resources overseas. It is also important to note that our revenues and earnings were essentially on target for both of our major business segments, dental and laboratory products. In fact, all of our subsidiaries continue to perform well in spite of the persistent U.S. recession and uneven recovery."
 Appointment of Directors
 Yontz also announced the appointment of Richard W. Vieser and Don H. Davis Jr. to Sybron's board of directors. He stated that the knowledge and experience of Vieser and Davis will be of great value to Sybron as it continues to expand its businesses throughout the world.
 Vieser has served as the chairman, president and chief executive officer of Lear Siegler, the chairman and chief executive officer of Midland-Ross Corp., chairman and chief executive officer of FL Industries Inc., and president and chief operating officer of McGraw-Edison Co. Currently he serves as a director of Control Data Corp., Dresser Industries Inc., INDRESCO Inc. and Varian Associates Inc.
 Davis is president of Allen-Bradley Co., headquartered in Milwaukee. Allen-Bradley, a subsidiary of Rockwell International Corp., is a manufacturer of sophisticated automation equipment. Davis joined Allen Bradley in 1966 and has served as vice president and general manager of its Programmable Controller Division, corporate vice president and president of its Industrial Control Division, senior vice president and general manager of its Industrial Control Group and senior vice president and general manager of its Industrial Computer and Communications Group.
