SUNRISE MEDICAL ACQUIRES LEADING GERMAN WHEELCHAIR COMPANY

SUNRISE MEDICAL ACQUIRES LEADING GERMAN WHEELCHAIR COMPANY
TORRANCE, Calif., Jan. 16 /PRNewswire/ -- Sunrise Medical Inc. (NASDAQ: SNMD) announced today that it has acquired Sopur GmbH and affiliates, a privately held German wheelchair manufacturer. Sopur is the German market leader in custom lightweight wheelchairs, with annual sales of $17 million and a growth rate in 1991 of just under 50 percent. Located near Heidelberg, Sopur manufactures a broad line of custom manual wheelchairs and distributes them to dealers throughout Germany and 15 foreign countries, including Eastern Europe. Exports account for 26 percent of sales. Included in the transaction are operations in The Netherlands, Czechoslovakia and the United States.
The total purchase price of $27 million consists of $24 million in cash and $3 million in Sunrise common stock. The acquisition should add modestly to Sunrise earnings per share in fiscal 1992 and more significantly in future years. The acquisition is being financed through a new unsecured, multi-currency credit line of $70 million recently arranged with a U.S. bank group led by Security Pacific National Bank.
Sopur's senior management team will remain in place, with the president and former owner, Erich Purkott, reporting to Richard H. Chandler, chairman and president of Sunrise Medical. The company will operate as an independent subsidiary in Sunrise Medical's Rehabilitation Group and will coordinate its activities with the other Sunrise wheelchair manufacturing divisions, Quickie Designs (United States) and Sunrise Medical Ltd. (United Kingdom).
Commenting on the announcement, Richard Chandler said, "This acquisition forms the cornerstone of our European expansion strategy in rehabilitation products. As a result of the acquisition, we believe Sunrise Medical is now the number three manufacturer of wheelchairs in Europe and the number two manufacturer worldwide. The acquisition also strengthens our position as the global leader in custom lightweight wheelchairs. Sopur brings to us a great brand image, a strong sales and distribution capability, a modern custom wheelchair factory and a window to Eastern Europe. The company is remarkably parallel to our Quickie Designs division in its product line and market position, its attractive margins and growth rate and its very distinctive brand image among active German wheelchair users. Sopur also employs wheelchair users at the highest management levels, much like Quickie. Sopur has a company salesforce providing direct coverage of medical equipment dealers throughout Germany, the largest single market in Europe. They also give us improved access to the emerging countries in Eastern Europe. We anticipate both leveraging the new German distribution network with other Sunrise products and importing selected Sopur products through our U.S. and U.K rehabilitation equipment divisions."
"The acquisition of Sopur also provides many synergies in engineering and manufacturing," Chandler continued. "We have already formed corporate wheelchair marketing and technology task forces to coordinate the worldwide activities of our three wheelchair divisions."
Sunrise Medical designs, manufactures and markets internationally medical products used in the rehabilitation and recovery phases of patient care. Products include manual and electric wheelchairs, ambulatory and bath safety aids, patient-room beds and furnishings and therapeutic mattresses for the management of pressure sores. Sunrise products are designed to meet the special needs of three groups of people: the disabled, the elderly and the recovering patient.
