SULZER TECHNOLOGY PROFITS SIGNIFICANTLY HIGHER IN 1992

WINTERTHUR, Switzerland, April 22 /PRNewswire/ -- The Sulzer Technology Corporation, the primary operating division of Sulzer Brothers Limited, Winterthur, today reported net income of 168 million Swiss francs (US$114.7 million) for the year end 1992, an increase of more than 50 percent over the previous year. During the same period, net sales rose by 5 percent to 6.8 billion Swiss francs (US$4.6 billion).
This dramatic increase resulted largely from improved operating income, which rose to 250 million Swiss francs (US$170.7 million) in 1992, up 53.4 percent from 163 million Swiss francs (US$111.3 million) in the prior year. The 1992 accounts were prepared for the first time in accordance with EC and IAS mandate -- making the company's earnings results universally translatable.
Net profit of the parent company, Sulzer Brothers Limited, Winterthur, rose 14.5 percent to 55 million Swiss francs (US$37.5 million), up from the 1991 level of 48 million Swiss francs (US$32.7 million).
At the Sulzer Brothers annual general meeting, scheduled for May 13, 1993, the board of directors will suggest raising the dividend to 16 Swiss francs (US$10.90), an increase of 23 percent over 1991's 13 Swiss francs (US$8.88) per registered share holder.
The board of directors will also propose to increase authorized capital (both shares and non-voting shares) by 41.5 million Swiss francs (US$28.3 million), for the purposes of issuing bonus warrants (exercise ratio 1:20) and as a reserve for future equity-linked securities issues.
A third request by the board of directors is the approval of the conversion of the parent company, Sulzer Brothers Limited, into a holding company, and to adjust the status of the new share legislation accordingly.
