STOCKHOLDERS OF FARMERS AND MERCHANTS NATIONAL BANK OF HAMILTON APPROVE AFFILIATION WITH F & M NATIONAL CORPORATION

 WINCHESTER, Va., Sept. 2 /PRNewswire/ -- On Tuesday, Aug. 31, the shareholders of Farmers and Merchants National Bank of Hamilton, Hamilton, Va., approved at their annual meeting of stockholders a plan providing for the purchase of substantially all of the assets and assumption of certain liabilities by F & M Bank-Winchester, Winchester, a subsidiary of F & M National Corporation (NASDAQ-NMS: FMNT).
 The transaction is expected to be completed in late September of this year.
 The agreement will entitle the Farmers and Merchants National Bank of Hamilton to receive shares of F & M National Corporation common stock valued at $7,095,640 at consummation.
 On June 30, 1993, F & M Bank-Winchester reported total assets of $519.0 million, and Farmers and Merchants National Bank of Hamilton reported total assets of $185.0 million.
 F & M National Corporation, which reported total assets of $1.130 billion at June 30, 1993, has nine banking affiliates with a total of 56 banking offices: F & M Bank-Winchester, Winchester; F & M Bank-Massanutten, Harrisonburg, Va.; F & M Bank-Richmond, Richmond, Va.; F & M Bank-Central Virginia, Charlottesville, Va.; F & M Bank-Broadway, Broadway, Va.; First National Bank of Emporia, Emporia, Va.; F & M Bank- Martinsburg, Martinsburg, W.Va.; F & M Bank-Blakeley, Ranson, W.Va.; and F & M Bank-Keyser, Keyser, W.Va. F & M National Corporation's common stock is traded over-the-counter and is listed on the NASDAQ Exchange under the symbol "FMNT."
