SPECTRUM INFORMATION TECHNOLOGIES, INC. ANNOUNCES AGREEMENT TO LICENSE ITS CELLULAR DATA TECHNOLOGY TO MEGAHERTZ CORPORATION

 MANHASSET, N.Y., April 30 /PRNewswire/ -- Spectrum Information Technologies, Inc. (Spectrum) (NASDAQ-NMS: SPCL), Manhasset, today announced that it has reached an agreement in principle with Megahertz Corporation to license Megahertz under Spectrum's cellular communications patent portfolio to make advanced modems capable of connecting to all regular and cellular telephones.
 Under this non-exclusive license, Spectrum's innovative cellular control and transmission technology will be built into Megahertz's entire product line, so that Megahertz customers can use their modems with any type of landline or cellular telephone. Spectrum will receive an up-front payment of $1,500,000 and an ongoing royalty on each unit. Spectrum will also receive a royalty on software drivers which will allow Megahertz customers to use the same modems with future models of cellular telephones and with other emerging types of mobile telephone networks.
 The agreement will also make Megahertz a leading distributor of Spectrum's highly regarded AXSYS(TM) and AXCELL(TM) brand cellular data interfaces.
 Spectrum is the industry leader in cellular data communications, having developed and patented basic cellular protocol and interface standards that have since been embraced by the growing mobile data industry.
 Megahertz Corporation is one of the largest manufacturers of portable data modems. Megahertz modems are incorporated into some of the industry's leading portable computer manufacturer's products including those of Toshiba America Information Systems, Compaq Computer Corporation and IBM.
