SPECTRAN ANNOUNCES INTENT TO ACQUIRE ENSIGN-BICKFORD'S OPTICAL FIBER SUBSIDIARIES

 STURBRIDGE, Mass., Nov. 11 /PRNewswire/ -- SpecTran Corporation (NASDAQ-NMS: SPTR) announced today that it has signed a letter of intent to acquire substantially all the assets of Ensign-Bickford Optics Company of Avon, Conn. and Ensign-Bickford Optical Technologies, Inc. of Van Nuys, Calif., subsidiaries of Ensign-Bickford Industries, Inc. of Simsbury, Conn. SpecTran will pay approximately $7 million in cash for the asset purchase. Closing is expected to take place in 50 to 80 days.
 Ensign-Bickford Optics Company, a leading manufacturer of specialty fiber, offers a wide range of value-added fiber products for industrial, medical, aerospace and niche communication markets. Many of these product lines incorporate the company's patented hard polymer clad silica fiber, HCS(R). "When combined with SpecTran's specialty fiber business, the acquisition will represent a strong force in the field," Raymond E. Jaeger, SpecTran's president and chief executive officer, said.
 Ensign-Bickford Optical Technologies, Inc., which in 1991 acquired certain assets of Lightwave Technologies, manufactures telecommunication grade single-mode fiber using a patented process referred to as hybrid vapor deposition (HVD).
 "This agreement reaffirms SpecTran's commitment to the development of engineered products for emerging markets and represents a significant consolidation of industry resources addressing specialty applications of fiber optics. It provides SpecTran with additional value-added capability resulting from over 15 years of product and market development at Ensign-Bickford. Several Ensign-Bickford Optics Company programs have the potential to contribute substantially to increased SpecTran revenues and profitability over the next few years, although no immediate improvement in consolidated profits is expected," Jaeger commented.
 "The purchase of Ensign-Bickford Optical Technologies provides complementary manufacturing process technologies having the potential for increased product efficiencies in our standard communication product lines. The acquisition combines the single-mode fiber technologies and marketing capabilities of Ensign-Bickford Optical Technologies and SpecTran, and increases our flexibility in single-mode and multimode manufacturing. SpecTran is planning for continued development of the HVD process that is expected to have a positive impact on overall capacity and manufacturing cost," he added.
 "The combined acquisition, with annual revenues of about $8 million, increases SpecTran sales and distribution channels and expands the company's presence in international markets," Jaeger concluded.
