New Company Will Provide Largest U.S. and International Telcos with

Comprehensive Voice and Data Network Management Solutions

SOTAS, Inc., a Safeguard Scientifics, Inc. company and a leading manufacturer of equipment that ensures the integrity of telecommunication networks around the world, today announced it acquired S3net, Inc. of Germantown, Md., a leading provider of innovative products to manage bandwidth based on quality, reconcile inter-company billing, manage fraudulent usage of voice and data networks, and improve network operating efficiency for telco customers worldwide.

Daniel McGinnis will remain president and CEO of SOTAS. S3Net CEO Jaswinder Matharu will become SOTAS' senior vice president and chief technology officer (CTO).

The combined companies have offices in Gaithersburg and Germantown, Md.; St. Louis, Mo.; Dallas, Texas; Suffolk, UK; and New Delhi, India. New locations are planned for Mexico, Brazil, Uruguay, Chile, Hong Kong, Singapore, Korea, and Japan this year.

S3net has an extensive customer list that includes Lucent, WorldCom, MaxCom and One Point Communications.

In addition, SOTAS has established long-term customer relationships with many of the major players in the telecommunications industry, including AT&, Axtel, British Telecom, Cable &Wireless, Concert, Global One, Korea Telecom, Quest, SITA/Equant, Sprint, and Viatel.
