SOFTWARE SPECTRUM ACQUIRES AUSTRALIA/NEW ZEALAND SUPPLIER OF PC SOFTWARE AND SERVICES.

GARLAND, Texas--(BUSINESS WIRE)--April 1, 1996--Software Spectrum, Inc., today announced that it has acquired Essentially Group Limited, a leading information technology company in Australia and New Zealand New Zealand (zē`lənd), island country (2005 est. pop. 4,035,000), 104,454 sq mi (270,534 sq km), in the S Pacific Ocean, over 1,000 mi (1,600 km) SE of Australia. The capital is Wellington; the largest city and leading port is Auckland. . Essentially Group provides organizations with an extensive range of PC software, hardware and technology services. The acquisition significantly extends Software Spectrum's expansion and completes its global operations Global Operations is a first-person shooter computer game developed by Barking Dog Studios and published by both Crave Entertainment and Electronic Arts. "We've always kept a clear global vision for the Company, and having a presence in the Asia/Pacific marketplace has been a critical component of that plan. This acquisition provides us with an immediate presence and a solid base for our Pan-Asian expansion into this growing market."

Under the terms of the agreement, Software Spectrum purchased Essentially Group for approximately $9 million (subject to adjustment), including a combination of cash and Software Spectrum stock. Essentially Group's sales for the fiscal year ended March 31, 1996 are expected to exceed $45 million. Essentially Group is one of the largest Microsoft Select resellers in the Asia/Pacific region.

The two principals of Essentially Group, Gary McNabb and David Colvin, have joined Software Spectrum's overseas management team. These proven executives will provide continuing leadership in the Asia/Pacific operations and execute the Company's plans for expanding sales and marketing activities throughout the Asia/Pacific marketplace. Gary McNabb will manage sales and marketing for the Asia/Pacific region, and David Colvin will oversee the multi-lingual operations center in Sydney, Australia which will service customers throughout the region.
