SOFTDESK ENTERS CONSUMER SOFTWARE MARKET WITH ACQUISITION OF FORESIGHT RESOURCES CORPORATION; Establishes Retail Products Group.

HENNIKER, N.H.--(BUSINESS WIRE)--Jan. 12, 1995--Softdesk, Inc. (Nasdaq National Market: SDSK) today announced it signed a definitive agreement to acquire Foresight Resources Corporation as part of the Company's strategy to establish a Retail Products Group and enter the estimated $100 million consumer architectural software market. Foresight Resources Corporation is a privately owned Kansas City, Missouri-based developer of Microsoft WindowsR-based computer-aided design (CAD) software for home and office architectural design.

Foresight Resources Corporation will be purchased through a stock transaction for approximately $3.75 million in shares of Softdesk Common Stock. The acquisition is anticipated to close during January 1995. The acquisition will be treated as a pooling of interest for accounting purposes. Further terms of the agreement were not disclosed.

Foresight Resources will operate as a wholly owned Softdesk subsidiary based in Kansas City, Missouri. Upon closing of the acquisition, August Grasis III, the president of Foresight, will become Vice President of the Softdesk Retail Products Group. Foresight Resources products will continue to be distributed through Ingram Micro and Foresight Resources' existing retail channel, including Computer City, Egghead Software, Best Buy, Sam's Wholesale Club, CompUSA, and others.

Foresight Resources products include Most Popular Home Designs, a CD ROM product of 200 popular house designs from Home Planners, Inc., Drafix CAD Professional, Planix Office for Windows, and Planix Home Architect. Prices for Foresight Resources products range from $49.00 to $495.00.
