 SOCIETY/AMERITRUST SPECIAL SHAREHOLDER MEETINGS SCHEDULED;
 BOARD OF DIRECTORS IDENTIFIED
 CLEVELAND, Dec. 26 /PRNewswire/ -- Special shareholder meetings for Society Corporation (NASDAQ: SOCI) and Ameritrust Corporation (NASDAQ: AMTR) have been scheduled for Jan. 29, 1992, to act upon the merger agreement between Society and Ameritrust.
 Under terms of the agreement reached Sept. 12, 1991, each outstanding share of Ameritrust common stock will be converted into .65 of a Society common share.
 The Ameritrust special meeting will be held at 9:30 a.m. at Sheraton City Centre Hotel, 777 St. Clair Ave., Cleveland, and the Society special meeting will be held at 9:30 a.m. at One Cleveland Center, 1375 E. Ninth St., Cleveland. Consummation of the merger is subject to receipt of shareholder and regulatory approvals as well as fulfillment of certain other conditions. It is currently anticipated that the merger will be completed in March 1992.
 After the merger, eight of Ameritrust's current directors will sit on the Society Corporation board of directors.
 They are: Edward F. Bell, president and chief executive officer, The Ohio Bell Telephone Company: Allen H. Ford, consultant; John G. McDonald, president and chief executive officer, BP Oil Company; M. Thomas Moore, chairman, president and chief executive officer, Cleveland-Cliffs Inc.; John C. Morley, president and chief executive officer, Reliance Electric Company; Richard W. Pogue, managing partner, Jones, Day, Reavis & Pogue; Paul G. Schloemer, president and chief executive officer, Parker-Hannifin Corporation; Craig R. Smith, chairman and chief executive officer, Ameritrust Corporation.
 Current Society board members who will serve on the post-merger board are: William G. Bares, president and chief operating officer, The Lubrizol Corporation; Albert C. Bersticker, president and chief executive officer, Ferro Corporation; Thomas A. Commes, president and chief operating officer, The Sherwin-Williams Company; Howard J. Cooper, president, Howard Cooper, Inc.; Betty Cope, president and general manager, WVIZ-TV; Robert W. Gillespie, chairman and chief executive officer, Society Corporation; T. Raymond Gregory, chairman of the board and chief executive officer, Gregory Galvanizing & Metal Processing, Inc.; Jerry Hammes, chairman of the board and president, Romig Hammes, Inc.; Stephen R. Hardis, vice chairman, chief financial and administrative officer, Eaton Corporation;
 Lawrence A. Leser, president and chief executive officer, The E.W. Scripps Company; A. Stephen Martindale, president and chief executive officer, The Kiemle-Hankins Company; Henry L. Meyer III, vice chairman and chief banking officer, Society Corporation; Steven A. Minter, director, The Cleveland Foundation; Roger Noall, vice chairman and chief administrative officer, Society Corporation; James S. Reid, Jr., chairman of the board and chief executive officer, The Standard Products Company; Harry A. Shaw III, chairman and chief executive officer, Huffy Corporation; Ward Smith, chairman of the board, NACCO Industries, Inc.; Renold D. Thompson, president and chief executive officer, Oglebay Norton Company; James W. Wert, vice chairman and chief financial officer, Society Corporation.
 Members of the board of directors of Ameritrust Company, N.A., the lead bank of Ameritrust Corporation, will continue to serve on that bank's board until it merges into Society National Bank, which is currently anticipated to be in the third quarter of 1992. At that time, several Ameritrust board members will join the Society National Bank board of directors.
