SMSC Announces Stock Option Grants.

 (Nasdaq: SMSC) today announced that, as an inducement to entering into employment with the Company, stock option grants covering an aggregate of 265,200 shares and restricted stock grants valued at $95,000, all valued based on the closing price per share of SMSC common stock on October 24, 2005, have been granted to 33 newly hired individuals employed in positions ranging from test operator to vice president. This notice of the aforementioned employment inducement stock option and restricted stock grants is being made in accordance with Nasdaq Marketplace Rule 4350.
