SIR BRYAN NICHOLSON NAMED A DIRECTOR OF VARITY CORPORATION

 BUFFALO, N.Y., Feb. 1 /PRNewswire/ -- Sir Bryan Nicholson has been elected to the board of directors of Varity Corporation (NYSE: VAT).
 Sir Bryan has been serving as chairman of Varity Holdings Limited, a Varity subsidiary, since Jan. 1, after his retirement as chairman and chief executive officer of the Post Office at the end of last year. Varity Holdings Limited, with a turnover of more than one billion pounds sterling a year and exports of 445 million pounds, has widespread industrial and agricultural manufacturing interests in the United Kingdom and the continent of Europe. It is the parent company of Massey Ferguson and Perkins operations outside North America.
 "Sir Bryan brings an exceptional international business perspective to our board's deliberations," said Victor A. Rice, chairman and chief executive officer of Varity. "His counsel will greatly enhance Varity's capacity to compete effectively in world markets."
 He also is chairman of BUPA, the health care organization, as well as the National Council for Vocational Qualifications, the Confederation of British Industry's (CBI) education and training affairs committee, and the Council of the Industrial Society. He has also been chairman of the Council for National Academic Awards (CNNA) and associated in various capacities with other organizations and charities, particularly those concerned with disadvantaged people.
 Sir Bryan was chairman of the Manpower Services Commission (MSC) from 1984 to 1987, and before that, after a long career in international business, chairman of Rank Xerox (UK) Ltd. from 1978 to 1984.
 Born in 1932, Sir Bryan was educated at Palmers School in Essex and Oriel College, Oxford. His interests are tennis, bridge and political history.
 Knighted in 1987 for his work at the MSC, his other interests have been non-executive directorships in Evode Group plc, Baker Perkins Holdings plc and Rank Xerox Ltd., and he is currently a non-executive director of GKN plc.
 Varity Corporation had sales in 1991 of $3.2 billion and is one of the 150 largest U.S. industrial firms. In addition to Massey Ferguson and Perkins, Varity operations include Kelsey-Hayes automotive components.
