SCT ANNOUNCES PUBLIC OFFERING OF 6-1/4 PERCENT CONVERTIBLE SUBORDINATED DEBENTURES

 MALVERN, Pa., Sept. 2 /PRNewswire/ -- Systems & Computer Technology Corporation (SCT) (NASDAQ: SCTC) today announced a public offering of $30 million principal amount of 6-1/4 percent Convertible Subordinated Debentures Due 2003, plus an additional $4.5 million subject to the underwriters' over-allotment option.
 The debentures will be convertible by the holders into shares of the company's common stock. Unterberg Harris and Kemper Securities, Inc. are the underwriters for the offering.
 The net proceeds of the offering, which will aggregate approximately $28.6 million ($33.0 million if the over-allotment option is exercised in full), will be used to repay all of the company's long-term debt and for general purposes, including product development and possible future acquisitions.
 The company provides facilities management services and administrative applications software in the U.S. higher education and local government markets, and has recently introduced a new product line for the utility market.
