Rocky Mountain Internet Delays Debt Offering Waiting for SEC Approval of INCC Acquisition.

High Yield Debt Offering will Resume Upon SEC Completion of the Shareholder Merger Proxy Review

Rocky Mountain Internet Inc. (NASDAQ SmallCap Market:RMII, RMIIW) announced today its high yield debt offering of $175 million has been delayed due to the pending completion of the U.S. Securities and Exchange Commission review of the Internet Communications Corp. (NASDAQ: INCC) Shareholder Merger Proxy.

Once the SEC's review is complete and any questions or comments are resolved, the proxy will be mailed to the INCC shareholders soliciting their approval of the transaction. Interwest Group Inc., an affiliate of Anschutz Company, which holds a controlling share in Internet Communications, has already agreed to vote in favor of the transaction.

Upon approval of the acquisition, all of the outstanding shares and options convertible into shares of Internet Communications' common stock will be acquired for $6.764 per share, for a total consideration of approximately $38 million.

After the closing, RMI will begin doing business under the name Internet Communications Company and will obtain control of Internet Communications' extensive data center and 180 employees. RMI's gross revenues for year-end 1997 were $6.1 million, and Internet Communications' gross revenues for the same period were $36.1 million.

Hanson will serve as chairman and CEO, and John Couzens, will become the president and COO of the combined company. The consolidation of the offices and network is expected to begin immediately upon completion of the merger. A decision on the new location has not been made, but will be forthcoming.
