Rocket Software Announces Completion Of Second-Step Merger with TCSI Corporation.

Rocket Software, Inc., today announced that it has completed its acquisition of TCSI TCSI Transaction Code Status Indicator (telecommunications)

TCSI Tri-City Software, Inc.
TCSI Transmitter Channel State Information
 Corporation, a leading provider of software products and services for the global telecom industry (Nasdaq: TCSI), pursuant to the Agreement and Plan of Merger, dated November 12, 2002. The first step was an all-cash tender offer to acquire all outstanding shares of TCSI at a price of $0.52 per share, completed on December 26, 2002, in which approximately 67% of the shareholders of TCSI tendered their shares.

With the completion of the special meeting of stockholders on March 12, 2003, the second step of the merger, all outstanding shares of TCSI have been converted into the right to receive the same $0.52 cash price-per-share paid in the tender offer. As a result of the merger, TCSI is now a wholly owned subsidiary Wholly Owned Subsidiary

A subsidiary whose parent company owns 100% of its common stock.

In other words, the parent company owns the company outright and there are no minority owners.
