 RYAN-MURPHY RECEIVES $1.8 MILLION FROM UNIT OFFERING
 DENVER, March 18 /PRNewswire/ -- Ryan-Murphy (NASDAQ: RMII) today


announced the completion of its Unit offering. The company received net proceeds of $1,852,500 from the sale of a total of 3 million Units at $.65 a Unit, in its Form S-2 registration offering. Drake Capital Securities, Inc. of Santa Monica, Calif., acted as the placement agent. The Units consist of one share of common stock and a warrant to purchase one share of common stock at $.85 for a period of three years. The Units are immediately separable and the warrants will trade under the symbol RMIIW.
 The company said it used $1.1 million of the proceeds and 1 million shares of restricted common stock for the acquisition of the exclusive rights to the Good Earth Machine (GEM). The remaining net proceeds of $752,500 will be applied toward working capital.
 Including the 3 million shares issued for the offering to date and the shares issued for the acquisition of GEM rights, the company's total shares outstanding amount to 15,791,155. In addition, a total of approximately 3.2 million warrants to purchase common shares are outstanding, including underwriters' warrants.
 With revenues increasing to $11.5 million in fiscal 1991 from $3.3 million in fiscal 1989, Ryan-Murphy, Inc. provides an expanding range of environmental services. Ryan Murphy common stock is traded under the NASDAQ symbol: RMII.
