 COMPANY AND DP END MERGER NEGOTIATIONS
 ENGLEWOOD, Colo., March 11 /PRNewswire/ -- Roadmaster Industries Inc. ("RMI") (NASDAQ: WHEL) said today that it expects 1992 to be another record year for the company with total 1992 forecasted revenues for all of its reporting units to be in the $235 million range. RMI previously reported that it expects its 1991 revenues to exceed $210 million for all of its reporting units which will be confirmed by its 1991 year-end audit expected to be completed by late March, 1992. One of RMI's major initiatives for the coming year is the continued emphasis toward enhancement of bottom line profitability. To this end, the company expects 1992 to be profitable with a significant increase in per share earnings as compared to 1991.
 "The sales growth for 1992 will be driven by continued increases in mountain bike sales and several of our fitness categories such as treadmills and cycles. We anticipate an overall increase in all of our product lines as evidenced by our current strong open orders for shipment," said Henry Fong, RMI chairman and president. The Roadmaster Corp. present open order position at this time exceeds $18 million. "The continued strong demand for our products with an open order position three times our normal rate demonstrates that our best value concept is working," said Roadmaster president and chief executive officer, Ed Shake.
 RMI also announced that it has been unable to reach an agreement on merger terms and conditions under which it and Diversified Products Inc. ("DP") would operate and, as a result, the two companies are not proceeding with their intention to merge as previously announced by RMI on August 7, 1991.
 Roadmaster Industries operates through its two wholly-owned subsidiaries, Roadmaster Corp. and Hamilton Lamp Corp. Roadmaster Corp. is a leading designer and manufacturer of Roadmaster junior wheel goods, Roadmaster bicycles and Vitamaster fitness equipment. Hamilton Lamp Corp. is a leading manufacturer of lamps and replacement shades.
