RICHEYIMPACT AND BRAJDAS TO MERGE; COMBINATION TO FORM 24TH-LARGEST ELECTRONICS DISTRIBUTOR IN NATION

 SANTA CLARA, Calif., Feb. 12 /PRNewswire/ -- Brajdas Corp. ("Brajdas") (OTC) announced today that it had reached an agreement in principle to merge with RicheyImpact Electronics Inc. ("RicheyImpact"), a distributor of electronic components based in Garden Grove, Calif. Brajdas Corp. also distributes electronic components through its Cypress Electronics Division ("Cypress"). The transaction is expected to close on March 1, 1993, or as soon thereafter as certain conditions in the agreement are satisfied. Upon closing, Brajdas estimates that it will be the 24th-largest electronics distributor in the United States, having approximately $72 million in revenues during the past 12 months. According to the latest rankings by Electronic Buyers' News, Cypress is the 36th largest and RicheyImpact is the 43rd largest such distributor.
 Under the terms of the agreement in principle, the business of RicheyImpact will be merged with the business of Cypress. In exchange for the stock of RicheyImpact, the shareholders of RicheyImpact will receive approximately 53 percent of the outstanding shares of BRJS Investment Holding Corp., which in turn will own approximately 89 percent of Brajdas' outstanding common shares. As a result of the transaction, the current shareholders of RicheyImpact will own an indirect 47 percent of Brajdas. In addition, the RicheyImpact shareholders will receive approximately $1.2 million of junior subordinated debt to be newly issued by BRJS Investment Holding Corp.
 Brajdas also announced that it will issue 10,900,000 shares of its common stock to BRJS Investment Holding Corp. in exchange for $4,050,000 cash prior to the closing of the merger. Brajdas will use these funds to reduce its debt currently outstanding to Barclay Financial Group. BRJS Investment Holding Corp. and Barclay Financial Group are affiliates of Donald I. Zimmerman, chairman of the board of directors and president of Brajdas.
 Pursuant to the agreement in principle, William C. Cacciatore, the chairman, president and chief executive officer of RicheyImpact, will become chairman, president and chief executive officer of Brajdas. C. Don Alverson, executive vice president-sales and marketing of RicheyImpact, and Norbert St. John, executive vice president-operations of RicheyImpact, will assume equivalent positions at Brajdas. At the closing, all members of the board of directors of Brajdas, other than Donald Zimmerman and Steven A. Zimmerman, will resign. Cacciatore and Greg A. Rosenbaum, treasurer, assistant secretary and a member of the board of directors of RicheyImpact, will join the Brajdas board of directors.
 The closing of the merger is conditioned upon, among other things, the securing of any necessary governmental approvals and the commitment of sufficient financing to fund the transaction from RicheyImpact's present lending institution.
 Cacciatore outlined his vision for the combined businesses in the following statement:
 "The integration of these two business -- RicheyImpact Electronics and Cypress Electronics -- positions our company as a major player in the distribution of interconnect, electromechanical and passive components, as well as all associated value added services -- component, cable, battery pack and other related assembly services.
 "The marketplaces to be served by our integrated companies are original equipment manufacturers, subcontractors and kitters, and aircraft industry aftermarkets.
 "The beauty of this transaction is the synergy that exists between the integrated companies relative to product lines, franchises, supplier relationships, product management and marketplaces. It is just this synergy that makes this merger so appealing.
 "RicheyImpact Electronics and Cypress Electronics will do business as Richey Cypress Electronics. Eventually, the parent company name will be changed to Richey Electronics Inc., a 40-year- old industry name."
