    EVENT:        NYC Mayor Rudolph Giuliani,  FDNY Commissioner
    ------        Thomas Von Essen, NYPD Commissioner  Bernard Kerik,
                  Port Authority Police Acting  Superintendent Chief
                  Joseph Morris, and Exchange Chairman & CEO Dick
                  Grasso  will light the NYSE  holiday  tree.  This
                  year's  tree  lighting  will honor the New York
                  Fallen Heroes of the FDNY,  NYPD,  Emergency Medical
                  Services,  and Port Authority Police with a special
                  live  performance  of "God Bless the  U.S.A." by
                  singer Lee  Greenwood.  The  families of these
                  Fallen Heroes have been invited to attend this
                  special  event.  "All My Children" star Susan Lucci
                  and WWF Commissioner Mick Foley will also
                  participate in the special event.

                    The 2001 holiday tree is a 65' spruce from Nanuet,
                  NY. A tradition since 1923, the NYSE's tree lighting
                  is believed to be New York City's  oldest.  The tree
                  arrives on Broad Street in front of the NYSE facade
                  and is installed Nov. 24th and 25th.

                    2001 will mark the first year that the Exchange's
                  six 50' columns will be strung with 56,000 light
                  bulbs and 60,000' of electrical wire to create an
                  illuminated American Flag that will measure 39' high
                  and 72' wide. The NYSE holiday tree will be
                  decorated with 10,000 multi-colored lights, 500
                  ornaments and a 6' star on top.  It is supported by
                  an 8'x10' base fashioned as a gift box.

    SCHEDULE OF EVENTS:

                  3:30 p.m.     Media covering The Closing Bell report
                                to 20 Broad St. checkpoint.
                  4:00 p.m.     The Closing Bell is rung.
                  4:15 p.m.     The Rockland Conservatory Choir will
                                kick off the outdoor festivities.
                  4:45 p.m.     Dick Grasso,  Mayor Rudolph Giuliani,
                                Thomas Von Essen,  Bernard Kerik,
                                Joseph Morris and Santa Claus arrive;
                                brief remarks to attending families.
                  5:05 p.m.     Lee Greenwood sings "God Bless the
                                U.S.A."
                  5:10 p.m.     Grasso,  Giuliani, Von Essen, Kerik
                                and Morris preside over tree and
                                facade flag lighting.
                  5:12 p.m.     Lee Greenwood sings a Holiday carol.
