Queench, Inc. Signs Letter of Intent to Acquire So Soya+, Inc. and Bay Hill Impex, Ltd.

Queench, Inc. (OTC: QENC) today announced signing a letter of intent to acquire So Soya+, Inc. and Bay Hill Impex, Ltd., producers and distributors of healthy, tasty soy-based products and flavored carbonated water beverages, to add to its growing Queench, Inc. and Queench Foods product lines. Terms of the acquisition, which are subject to the conclusion of a definitive agreement, were not disclosed. The transaction is expected to close by March 26, 2004.

Headquartered in Ontario , Canada , So Soya+, Inc. and Bay Hill Impex, Ltd. are privately held Canadian companies founded in 1991 by Mr. Rajadurai. Their mission is to make soy food products more consumer-friendly and accessible to the mainstream market. Presently, So Soya+ Inc. markets ten varieties of soy products rich in protein and low in carbohydrates, catering to a growing consumer trend of high protein, low carbohydrate diets. All of these products have a loyal consumer base within the Canadian marketplace.

Available in Mixed Berry, Orange , Pineapple, Ice Cream Soda, and Mango-Passion, Fruitello is made from Canadian spring water, but many consumers from Commonwealth countries will recognize the flavors which have been imported from England . The beverages are currently being sold in independent variety stores in the greater Toronto area. Last year's sales volume was $340,000.00 CDN. These products currently retail from $0.99 to $1.50 CDN per 20 ounce bottle.
