Closing of the merger is subject to certain closing conditions and approval by the shareholders of ProxiNet, although, certain affiliates of ProxiNet have agreed to vote their shares in favor of the merger. The merger is expected to be finalized in Puma's fiscal quarter ending October 31, 1999, and as a result, Puma expects to incur a one-time charge for in-process research and development for ProxiNet's products which have not yet reached technological feasibility. Puma Technology believes that the acquisition has the potential to broaden the appeal of Internet-connected wireless devices and other Internet appliances. By combining Puma's Intellisync(R) synchronization platform with ProxiNet's highly scalable proxy-based transformation and delivery architecture, major Internet destinations such as portals, search-engines and e-commerce companies will have the means to provide highly secure, real-time access to users of handheld devices, cellular phones and other wireless devices and Internet appliances. Users will be able to browse information online, while simultaneously retrieving and synchronizing critical information, such as emails, calendar events, or shopping information for use while offline. The combined companies' solution eliminates the need to be constantly connected and online, enduring often unreliable or unavailable wireless connections and incurring expensive wireless charges. Puma plans to market this technology primarily to major Internet companies such as portals and e-commerce sites as well as to cellular carriers and other wireless providers. "New wireless appliances are reaching consumers and business users at an accelerating rate," said Brad Rowe There are multiple people named Brad Rowe:
"ProxiNet's strength is it's ability to provide fast, secure, real-time Internet access to mobile devices" said Ed Snyder, ProxiNet's President and CEO. "Integrating Puma's Intellisync and Satellite Forms(TM) technologies with ProxiWare(TM) and ProxiWeb(TM) will provide major destination websites with the ultimate connectivity model for addressing all classes of mobile users, from cell phones and pagers, to PDAs and other Internet appliances. The forthcoming technology will also extend Puma's Intellisync Anywhere(TM) platform to provide highly secure, real-time access to corporate intranets and other web-enabled data that resides in major corporations.
