Proposed changes to NCEW bylaws.


In meetings in December and April, the NCEW NCEW National Conference of Editorial Writers  board discussed and prepared changes to the organization's bylaws The rules and regulations enacted by an association or a corporation to provide a framework for its operation and management.

Bylaws may specify the qualifications, rights, and liabilities of membership, and the powers, duties, and grounds for the dissolution of an
 that it plans to put to a vote at the 2006 convention in Pittsburgh. Below is the complete text of the affected articles, as well as the proposed changes.

Article III

Governance

Power of decision of the organization rests in the membership as represented at the annual meeting of the conference. During intervals between conferences, it rests with the board of directors.

Board of Directors

The organization shall be governed gov·ern  
v. gov·erned, gov·ern·ing, gov·erns

1. To make and administer the public policy and affairs of; exercise sovereign authority in.

 by a board of directors whose duties will begin on Jan. 1 of the succeeding year immediately following the election of its members. The board of directors shall have full power to conduct, manage and direct the business and affairs of the organization; and all powers of the organization are hereby granted to and vested vested adj. referring to having an absolute right or title, when previously the holder of the right or title only had an expectation. Proposed amendment

The board may vote by electronic measures so long as the required quorum of seven (7) participates.

Explanation:

In practice, the annual convention is the culminating event of the NCFW board's year yet, under current bylaws, board terms are determined by calendar year rather than program year. If adopted, the proposed amendment will change the start of service for the officers and board members to the Monday following the election annual, rather than January 1 of the next calendar year.

This change will allow the vice president (incoming president) to name his/ her committee chairs prior to the annual convention, which will serve as an opportunity for committee chairs to recruit new members and first-time attendees to serve along with NCEW veterans.

In the event that the board is required to conduct business at a time other than the three regular called meetings, this allows a vote to be taken via e-mail so long as a quorum participates,

Proposed amendment

Change the last sentence under A) to read: The officers of the organization shall include the president, vice president, treasurer, secretary and the immediate past president.

Explanation:

In practice, the immediate past president has served as an officer of the board. This change will codify codify to arrange and label a system of laws.  that practice into the bylaws.

C) The officers are elected in a ladder format. Once elected as secretary, a person automatically assumes the treasurer's office, the vice presidency the office of vice president.

 and the presidency in succeeding years. The at-large members serve two-year terms and may not succeed themselves. The officers of the organization shall be elected annually by the membership at the annual meeting, and each officer shall hold the office for the calendar year after his or her election.

Proposed amendment

Change the last sentence under C) to read: The officers of the organization shall be elected annually by the membership and each officer shall hold the office until the first Monday following the annual election of the new board of directors.

Explanation:

This change is a companion to the proposed change in terms of office.
