Prior to the restructuring, the Company owed the Fund approximately $2.95 million in principal and accrued interest Accrued Interest The interest that has accumulated on a bond since the last interest payment up to but not including the settlement date. There are two methods for calculating accrued interest: 1) 360-day year method, used for corporate and municipal bonds. , which was advanced under the terms of three separate agreements: (1) a Revolving Credit Revolving Credit A line of credit where the customer pays a commitment fee and is then allowed to use the funds when they are needed. It is usually used for operating purposes, fluctuating each month depending on the customers current cash flow needs. The other two Secured Promissory Notes, one of which was in default, were combined into a single Convertible Secured Promissory Note in the principal amount of $2.53 million with an effective date of June 1, 2007. In the event that the average closing price of the Company's common stock is in excess of $5.00 per share for thirty (30) consecutive trading days, the Company will have the right to redeem the promissory note in shares or in cash. In the event of a redemption in shares, the principal is convertible into shares of the Company's common stock at a conversion price of $2.50. The promissory note is secured by all of the Company's assets. Should the Company raise up to $2,000,000 in a new credit facility, including any replacement credit facilities, the Fund is required to subordinate its security interest in favor of the new credit facility.
