Under the terms of the agreement, PLATINUM exchanged approximately 1,100,000 shares of PLATINUM common stock for all of the outstanding shares of Altai Inc. The exchange ratio was one share of Altai stock for .42157 shares of PLATINUM stock. Altai shareholders voted on August 23 to approve PLATINUM's plans to acquire the company and all conditions of the transaction were satisfied today. The acquisition is effective immediately; Altai stock will stop trading at the close of business on August 23. Five percent of Altai stock will be held in escrow for up to 24 months.

It is expected that the acquisition will qualify as a tax free reorganization and be accounted for as a pooling of interests Pooling of Interests
