PLANTE & MORAN PRESENTS 'MICHIGAN LIMITED LIABILITY COMPANIES' SEMINAR

SOUTHFIELD, Mich., May 19 /PRNewswire/ -- Plante & Moran, the largest Michigan-based certified public accounting and management consulting firm, will host a luncheon seminar entitled "Michigan Limited Liability Companies" at the Embassy Suites Hotel in Southfield, Friday, May 21, noon to 2 p.m. Michigan Rep. Kirk A. Profit (D-Ypsilanti), who introduced the newly enacted Michigan Limited Liability Company Act before the Michigan Legislature, is the keynote speaker.
"This new business entity will be very advantageous to Michigan businesses," said Dean Rocheleau, CPA, J.D., a partner in the tax department at Plante & Moran. "Many businesses should explore the possibility of operating as a Limited Liability Company, especially those operating in a partnership format, such as real estate development or rental operations, professional firms, and joint ventures between businesses or individuals."
The seminar will include a presentation by Rocheleau, who will discuss the income tax and business aspects of this new business entity available in Michigan commencing June 1, 1993.
The Michigan Limited Liability Company Act permits a new type of business entity to be formed and operated in Michigan -- a Limited Liability Company. This new business entity combines the limited liability protection for owners similar to a corporation, with the flexibility and flow-through taxation of a partnership.
"An LLC provides a fourth option to the three traditional business organizations (sole proprietorship, partnership or corporation), and it means liability protection and more tax benefits to the owners," Profit said. "This may encourage more people to create businesses, and already existing small businesses might be able to save on their taxes without incurring liability."
