 CO-CHIEF EXECUTIVE OFFICERS
 LOS ANGELES, Feb. 3 /PRNewswire/ -- Pathe Communications Corp. (NYSE: PCC) announced that, at a special meeting of its board of directors held today, Alan Ladd Jr. and Dennis C. Stanfill were elected co-chairmen and co-chief executive officers of the company and Charles R. Meeker was appointed president and chief financial officer. At the same time, the authority of all Paretti-appointed officers of the company was suspended, pending further board action.
 The board also established an executive committee consisting of Messrs. Ladd, Stanfill, and Meeker; Jay Kanter, chief operating officer of MGM-Pathe Communications Co.; as well as Guy Etienne Dufour and Bahman Naraghi, both of whom are executives of Credit Lyonnais, S.A.
 The directors attending today's meeting included the new directors appointed to the board on Jan. 22, 1992, by Credit Lyonnais Bank Nederland N.V. in the exercise of its voting rights to a majority of the company's common stock and following action to expand the board of Pathe Communications to 22 members. This action by the bank was affirmed by the Delaware Chancery Court on Jan. 29, 1992. The 12 directors appointed by the bank are Jacque Bertholier, Thomas Carson, William A. Jones, Jay Kanter, Rene Claude Jouannet, Charles R. Meeker, Kenneth Meyer, Bahman Naraghi, Guy Etienne Dufour, Guy Goirand, Alan Ladd Jr., and Dennis C. Stanfill.
 The board directed Meeker to conduct an immediate review of the company's financial, business and legal activities and to report the results of that review, his conclusions and recommendations to the board or executive committee.
 "Our immediate priority is to stabilize Pathe Communications' business, financial and legal affairs; to restore the integrity and timeliness of the company's financial reporting; and to distribute an up-to-date annual report to the company's shareholders," Ladd and Stanfill emphasized.
 They added: "We are pleased that Charles Meeker has accepted the presidency of Pathe Communications, in addition to his continuing responsibilities as president of MGM-Pathe."
 Pathe Communications is a holding company that owns 98.5 percent of the stock of MGM-Pathe Communications, which is involved in the worldwide production and distribution of motion picture and television programs and operates theater chains in Europe.
