(TSE:MSS) shares. This number of common shares represents 92.87% of Microstar's issued and outstanding share capital.

The Microstar shares were deposited pursuant to an offer made by 3557855 Canada Inc., a wholly-owned subsidiary of Open Text, by way of a take-over bid circular dated August 12, 1999. In an effort to obtain at least 90% of Microstar's issued and outstanding common shares, Open Text extended the take-over bid, in accordance with a Notice of Extension dated September 2, 1999. The take-over bid was extended to 12:00 midnight on September 17, 1999.

Having acquired more than 90% of the common shares of Microstar, Open Text will commence procedures to compulsorily acquire the remaining shares of Microstar. The compulsory acquisition is expected to be completed by early November 1999.

Open Text intends to change the Microstar board of directors, shortly following the acquisition, by replacing current directors with Open Text nominees.
