On May 19, 2003 the Exchange notified the Company that it has accepted the Company's plan of compliance and granted the Company an extension of time to August 5, 2004 to satisfy the financial standards, and an extension of time to July 18, 2003 to comply with the independent audit committee requirement. The Company will be subject to periodic review by Exchange Staff during the extension period. Failure to make progress consistent with the plan or to regain compliance with the continued listing standards by the end of the extension period could result in the Company's common stock being delisted from The American Stock Exchange.
