 OSBORN ELECTED TO FLEMING BOARD
 OKLAHOMA CITY, Jan. 24 /PRNewswire/ -- Guy A. Osborn, chairman and


chief executive officer of Universal Foods Corp., Milwaukee, was elected today a director of Fleming Companies Inc. (NYSE: FLM). He will fill the vacancy created by the recent death of Kenneth W. Reese.
 Osborn joined Universal Foods in 1971, was promoted to president in 1984 and chairman in 1990. Prior to joining Universal Foods, he was with The Pillsbury Company for 13 years.
 Osborn holds a degree in marketing from Northwestern University and attended the Stanford Executive Program.
 He serves on the boards of First Wisconsin National Bank, First Wisconsin Trust Co., Wisconsin Gas Co., Milwaukee Metropolitan Association of Commerce, Boys and Girls Club of Greater Milwaukee and Alverno College. He is a member of the Greater Milwaukee Committee and other civic and business organizations.
 FLEMING DECLARES REGULAR QUARTERLY DIVIDEND
 Fleming Companies' board of directors also declared a regular quarterly dividend of 30 cents per share of common stock, payable March 10, 1992, to shareholders of record Feb. 20, 1992.
 The board set March 2, 1992, as the record date for the annual shareholders' meeting which will be held April 29, 1992.
 Fleming is the nation's largest wholesale food distributor, serving more than 4,800 retail food stores in 36 states.
