NanoSignal Announces New Officers and Cancellation of 20 Million S-8 Shares and 20% Stock Dividend.

LAS VEGAS -- NanoSignal (Pink Sheets: NNOS) held a special meeting of the board of directors called by chairman Dr. Rupert Perrin on Nov. 23, 2004; Perrin, Dr. L. Madoff and S. Ervin were in attendance and the following resolutions were adopted:

1. A new slate of officers for the company was elected:

President & CEO Ernie Bartels

Secretary Melvin Joseph

Treasurer Michael Devanney

The board is confident that Bartels will utilize his years of experience in many phases of business operations to grow the company. He comes highly recommended by several of the industry's finest and was previously president of Executive Mortgage Bankers Limited, a mortgage banking business licensed across the United States and awarded recognition by Inc. Magazine as among the fastest Top 500 Companies three years in a row. Bartels has indicated that he is dedicated to take on the challenge of making the company what it truly can become -- a top-ranked company with a variety of highly graded technologies.

Joseph will utilize his vast knowledge as an attorney, labor union negotiator and arbitrator to further the development of NanoSignal Corp.

Devanney has strong relationships with major banking concerns such as Hong Kong Shanghai Banking Corp. (HSBC), Republic Bank of New York and Morgan Stanley, all of which he has been previously employed by in positions of high responsibility. His knowledge of banking and financing will be a top asset to assist in NanoSignal Corp.'s new endeavors. Devanney has more than 40 years in the banking field, which will undoubtedly be a welcome addition to NanoSignal Corp.'s family.

2. The new team will convene at NanoSignal Corp.'s offices at 5440 W. Sahara Ave., Suite 206, Las Vegas, on Wednesday, Dec. 1, 2004, in order to initiate our goals.

3. Madoff has begun to implement the initial steps that are necessary to modify the SLICES(TM) algorithms and complete Beta Testing of SLICES at Desert Radiologists in Las Vegas.

4. The board of directors has determined that 20 million shares issued pursuant to an S-8 filing may have been issued to some of the persons without consideration or alternatively were issued as excess consideration. Therefore, the board of directors shall take action immediately to invalidate those shares.

5. In order to minimize the number of shares in the public float, the proposed 20% stock dividend has been deemed to be not in the best interest of the company or its shareholders, and has therefore been rescinded.

6. The board of directors has discussed the convening of the annual shareholders meeting and it is presently making arrangements to find a suitable venue; notice will be duly provided upon selection of a date, time and place.
