NTI's Major Shareholder PCL Increases its Stake.

CALGARY, Alberta--(BUSINESS WIRE)--March 5, 1997--NTI Resources Limited (Alberta Stock Exchange/NTI.) is pleased to announce that it has received notification on March 4th, 1997, by its major shareholder Pacific Communications Limited ("PCL") that it has acquired an additional 4,650,000 shares (approximately 5.60 percent) in the Company from Broad Spread Limited, a company incorporated in the British Virgin Islands. After this acquisition PCL's total shareholding will be 58,641,758 shares representing 75.66 percent of the current issued and outstanding shares of the Company.

However, as has been announced earlier on January 31st 1997, PCL has entered into a Sale and Purchase agreement with Denko Industrial Corporation Berhad ("Denko"), whereby Denko will eventually own 35,000,000 of the Company's issued and outstanding shares, which now represents approximately 45.16 percent. The completion of which is subject to regulatory approvals. Upon completion of the said Sale and Purchase between PCL and Denko, the number of shares held by PCL will therefore be reduced to 23,641,758 shares. Denko is a Malaysian company listed on the Kuala Lumpur Stock Exchange ("KLSE") trading under the Reuters symbol DICM.KL. -0-
