NEWS CORPORATION FILES REGISTRATION STATEMENT WITH SEC

 NEW YORK, July 2 /PRNewswire/ -- The News Corporation Limited (NYSE: NWS) announced that it has filed with the U.S. Securities and Exchange Commission a registration statement for the issuance of Cumulative Guaranteed Preference Shares (with a par value of U.S. $25) of Newscorp Overseas Limited, a Cayman Islands company and wholly owned subsidiary of News Corporation. The Preference Shares will be guaranteed by News Corporation. The registration statement contemplates an issue of up to 8 million Preference Shares, together with up to 1.2 million Preference Shares subject to the underwriters' over-allotment option. Application will be made to list the Preference Shares on the New York Stock Exchange with trading expected to commence approximately 30 days after issuance.
 The registration statement relating to these securities has not yet been declared effective by the U.S. Securities and Exchange Commission. These securities may not be sold nor may offers to buy be accepted prior to the time the registration statement becomes effective. This announcement shall not constitute an offer to sell or the solicitation of an offer to buy nor shall there be any sale of these securities in any state in which such offer, solicitation or sale would be unlawful prior to registration or qualification under the securities laws of any such state.
