 NCR AND TERADATA ANNOUNCE PLAN FOR POST-MERGER ORGANIZATION
 DAYTON, Ohio, Feb. 18 /PRNewswire/ -- NCR Corporation and Teradata Corporation jointly announced today a plan to integrate the operating units of Teradata into NCR, effective with formal completion of the proposed merger.
 "The plan allows us to retain Teradata's leadership and knowledge in key positions," said Gilbert P. Williamson, NCR chairman and chief executive officer. "This approach establishes an infrastructure for the combined organization that preserves the values that Teradata brings and leverages the strengths of both companies."
 The Teradata brand name, synonymous with leadership in high-performance, complex query processing, will be retained for the relational database product.
 Teradata Development & Manufacturing Operations
 William J. Eisenman, vice president, NCR Large Computer Products Division, will assume responsibility for all of Teradata's development and manufacturing operations. These include:
 -- Teradata's product development group based in El Segundo, Calif.
 -- Teradata development centers in Seattle and Munich, Germany.
 -- Teradata Decision Enabling Technologies, a software development
 organization, in San Francisco.
 -- Sharebase, a wholly owned subsidiary of Teradata in San Jose
 which manufactures midrange database servers.
 -- Teradata manufacturing operations in El Segundo and Dublin,
 Ireland.
 Sales and Support Organizations
 In integrating Teradata's domestic marketing operations, NCR's United States Marketing Group (USG) announced the creation of a Large Computer Systems Division which combines NCR's existing large systems marketing activities with those of Teradata. Within USG, large system support will be enhanced through the expansion of existing organizations. USG's Customer Services Division will provide large systems hardware services through its Large Computer Systems organization. The Systems Services Division of USG has formed a Professional Services organization to provide consulting services to help customers solve business problems through the application of parallel processing and relational database systems.
 Frank Triolo, vice president of Teradata's worldwide marketing, has been named vice president, Large Computer Systems Division, within USG. The division will be based in Los Angeles and will report to John R. Poole, vice president and group executive, USG.
 Teradata's international marketing groups in Europe will be integrated within NCR Europe Group's Large Systems Division (LSD). Teradata sales organizations will be combined with LSD's existing sales and support offices in major countries and will report to the local NCR area or country manager.
 Teradata sales and support organizations in Canada, Australia, Japan and the Asia/Pacific countries will be integrated into the respective NCR country organizations.
 Development & Manufacturing Personnel Appointments
 NCR announced the appointment of Richard Stockton as assistant vice president and general manager, Teradata Database Business Unit. Reporting to Eisenman, he will head development activities for the DBC product family, including the Teradata database software.
 The NCR-Teradata Joint Development Organization, established in Torrey Pines nearly two years ago to cooperate in developing each company's parallel processing technology, has been renamed the NCR Torrey Pines Development Center. Boyd Pearce was named assistant vice president and general manager, reporting to Eisenman.
 According to Williamson, NCR announced today only the first in a number of key management appointments. "Our intent is to keep in place people with the skills and expertise which have been the foundation of the organization's success. We are still in the review process and additional announcements will be made in the near future.
 "As today's announcements demonstrate, the process of bringing Teradata and NCR together is moving ahead rapidly and smoothly. Just two weeks ago, we announced the product plan which ensured that customer commitments made by both companies will be met following the merger. This plan has been greeted with great enthusiasm by customers. Today, we have the overall organization direction decided."
