NATURAL CHILD CARE ANNOUNCES SALE OF PRODUCT LINE AND ASSETS TO INTERNATIONAL VITAMIN CORPORATION

 ARMONK, N.Y., June 24 /PRNewswire/ -- Natural Child Care, Inc. (NASDAQ: NACC, NACCU, NACCW) today announced that, in connection with its previously announced plans to reorganize and restructure the company to change the focus of its business, its recently formed wholly-owned subsidiary, Family Fun, Inc., to which the company had transferred the Natural Child Care product line and all related assets and liabilities, a certain amount of cash and receivables and 336,000 shares of the company's common stock held in the treasury, had sold the product line and related assets to International Vitamin Corporation, Union, N.J., a privately owned manufacturer and distributor of vitamins to the health food store market. The amount paid was $335,000, most of which will be paid over time.
 The company also stated that it was on schedule with its previously disclosed plans to issue a controlling block of company shares to the stockholders of Winners All Ltd., a privately owned British corporation, for all of the stock of Winners All and a controlling block of stock of Family Fun to the stockholders of Complesports, Inc., a privately owned Long Island based company, for all of the stock of Complesports. In connection with the Complesports transaction, the company intends to dividend most of the shares of Family Fun it owns to Natural Child Care stockholders. It is anticipated that these transactions will be presented to Natural Child Care stockholders for their consideration later this summer. Winners All recently acquired the worldwide rights, outside of the United States, to the U C'N WIN point-of-purchase full color, interactive, video marketing and promotion system for in-store marketing and advertising of merchandise and has begun marketing this product in various countries. Complesports owns and operates an indoor family amusement center in Nesconset, N.Y., known as Spaceplex, incorporating games, rides and attractions.
 In announcing the sale of the Natural Child Care product line and related assets, Mr. Jules Zimmerman, chairman of Natural Child Care, stated, "This sale represents the first step in the board of director's stated intent to provide stockholders with the ability to possibly realize greater value from their investment in the company by owning stock in entities operating in two areas of business which the board believes provide a greater chance of success than remaining in the natural child care over-the-counter product business."
