NATEC RESOURCES ANNOUNCES MARKETING AGREEMENT; DIVESTITURE OF SPECIALTY CHEMICAL BUSINESS

HOUSTON, March 2 /PRNewswire/ -- NaTec Resources, Inc. (NASDAQ:NATC) today announced the execution of a non-exclusive marketing arrangement with CRS Sirrine Engineers, Inc. to pursue opportunities for NaTec's dry sodium injection systems and sorbent. CRS Sirrine Engineers, Inc. will supplement NaTec's sales and marketing network and provide corresponding flue gas desulfurization equipment design and procurement services to utility and industrial markets throughout the United States. This arrangement will complement similar marketing arrangements currently in place, including the alliance with Lodge Sturtevant in the United Kingdom. CRS Sirrine Engineers, Inc., a wholly-owned subsidiary of CRSS Inc., is a leading provider of industrial facility design and construction services.
Commenting on the announcement, John T. McCormack, president and CEO of NaTec Resources, stated, "We view the marketing arrangement with CRS Sirrine Engineers, Inc. as an expansion of our efforts in the flue gas desulfurization markets as well as an opportunity to enhance the services provided to our clients from a broader resource base."
NaTec also announced its intent to divest itself of the specialty chemical business. This business supplies specialty chemicals and application systems to the utility industry in order to improve coal handling operations at power generation facilities. In conjunction with the decision to discontinue this business segment, NaTec will record, in the fourth quarter of 1992, a charge to earnings of approximately $600,000 to $700,000, or $0.02 to $0.03 per share. The charge consists of the estimated loss on sale of the business coupled with estimated losses during the phase-out period. Additionally, NaTec increased its reserve for idle equipment by approximately $300,000, or $0.01 per share in the fourth quarter of 1992.
McCormack added, "The divestiture of the specialty chemical operations will allow us to focus on our core business of flue gas desulfurization. Additionally, we will be able to reduce general and administrative costs attendant to the specialty chemicals operations. Collectively, the CRS Sirrine Engineers marketing agreement, the North American Chemical Company joint venture and the exit from the specialty chemical business should facilitate growth of the core flue gas desulfurization business and positively affect future earnings and cash flows beginning in 1993."
NaTec is committed to the control of pollutants commonly associated with acid rain. The company provides consulting engineering, injection system installation, operations and maintenance services, and processed sorbent supply. Primary markets are utility, industrial power generation, pulp and paper, refining and municipal solid waste.
