ADOPTION OF AGENDA The agenda was adopted as printed. QUORUM President Pieffer declared a quorum present at the meeting. MINUTES The minutes of the March 2004 Annual Meeting stand as written. NATIONAL ELECTION RESULTS President Pieffer announced the 2005-2007 National officer election results and declared the following individuals elected: President-elect Gail Berenson (OH) Vice President Martha Hilley (TX) Secretary/Treasurer Kathleen Rountree (NC) RECOGNITION President Pieffer recognized the other members of the MTNA Board of Directors: Paul Stewart Paul Stewart is the name of many notable people:

REPORT OF THE PRESIDENT President Pieffer delivered a "State of the Association" report, assessing MTNA's accomplishments during the past year. This included trips by the President and Executive Director to the Beijing Music Festival and the European Piano Teachers annual conference in Rome. Retail Print Music Dealers Association/MTNA Presentation President Pieffer presented a newly-developed member program, conceived in partnership with the Retail Print Music Dealers Association. The purpose of the program is to strengthen the relationship between independent music teachers and the local music dealers. She distributed the "Partnership Action Plan" that outlined outreach initiatives in marketing and advertising, public relations public relations, activities and policies used to create public interest in a person, idea, product, institution, or business establishment. By its nature, public relations is devoted to serving particular interests by presenting them to the public in the most , and education for both teachers and dealers. The initiatives were devised by a joint task force consisting of: Phyllis Pieffer, MTNA President, co-chair Richard Rejino, Brook Mays Brook Mays Music Group known generally just as Brook Mays, was a Dallas, Texas-based retailer of musical instruments, sheet music, and supplies. BUSINESS Bylaws The rules and regulations enacted by an association or a corporation to provide a framework for its operation and management. Bylaws may specify the qualifications, rights, and liabilities of membership, and the powers, duties, and grounds for the dissolution of an Amendment The MTNA Board of Directors recommended an amendment to the MTNA Bylaws. The purpose of the amendment is to restructure the membership on the Board of Directors to develop more effective and efficient lines of communication "Lines of Communication" is an episode from the fourth season of the science-fiction television series Babylon 5. The titles "division presidents" and "division presidents-elect" will be replaced by the titles "director" on the Board of Directors and "director-elect" for each division. The "director-elect," elected by the division membership, will automatically assume the position of director on the Board of Directors and director of the division. The current division presidents-elect may also run for the office of Division Director-elect for the 2006-2008 term if they so choose. To provide for a smooth transition, it is proposed that the current division presidents will run for the Board of Directors in 2006 (for the 2006-2008 term) if they so choose. After the 2006-2008 term, the division directors-elect will be elected via election procedures in the current bylaws. (See article on adjacent page.) Caton, Secretary/Treasurer Bylaws Amendment Approved An amendment to the bylaws was approved by the membership during the Annual Meeting of the Association at the 2005 National Conference in Seattle. The newly amended bylaws read as follows: ARTICLE V. OFFICERS SECTION 2. DIVISION OFFICERS AND DUTIES Officers of each Division shall be a Director and Director-elect. a. The Director shall serve on the Board of Directors and shall preside pre·side intr.v. pre·sid·ed, pre·sid·ing, pre·sides 1. To hold the position of authority; act as chairperson or president. 2. To possess or exercise authority or control. 3. at all Division meetings. b. The Director-elect, upon completion of his or her term of office, shall become Director of the Division. The Director-elect shall assume all the duties of the Director in the absence of that officer and shall serve as recording secretary. SECTION 3. NATIONAL AND DIVISION TERM OF OFFICE Each officer shall be elected for one term of two (2) years and serve until his or her successor assumes office. The term of office shall begin and end at the close of the annual session in the election year. (NO CHANGES) SECTION 4. SUCCESSION a. The National President-elect, upon completion of his or her term of office, shall automatically become President of the Association. Should the Presidentelect be unable to assume the Presidency, the President shall be elected, for that term only, in the same manner as the other officers. b. The Division Director-elect, upon completion of his or her term of office, shall automatically become Director of the Division. Should the Director-elect be unable to assume the directorship, the Director shall be elected, for that term only, in the same manner as the other officers. SECTION 5. NATIONAL AND DIVISION VACANCIES AND REMOVAL b. A vacancy in any national office, except that of National President, shall be filled for the unexpired term by a plurality vote by ballot of the general membership. Should said vacancy occur without sufficient time to hold a national election, the President, with the approval of the Board, shall appoint a person to complete the unexpired term. A National President-elect selected in this manner cannot assume the office of National President unless elected to the office in the same manner as the other officers. (NO CHANGES) A vacancy in any Division office, except that of Division Director, shall be filled for the unexpired term by a plurality vote by ballot of the Division membership.
