A firm's repurchase of outstanding shares of its common stock.
 program for up to five percent (5%) of its outstanding shares, Chairman Carrol R. Pruett announced today.

Based on the current outstanding shares, the buyback may result in the purchase of up to approximately 1,203,580 shares. These repurchases will be made from time to time by the Company in the open market or in block purchases or in privately negotiated transactions in compliance with Securities and Exchange Commission (SEC) rules. The program will begin in May 2002 and is expected to be effective for one year.

"The buyback will reduce the number of outstanding shares, which will improve our earnings per share (EPS (Encapsulated PostScript) A PostScript file format used to transfer a graphic image between applications and platforms. EPS files contain PostScript code as well as an optional preview image in TIFF, WMF, PICT or EPSI, the latter being an ASCII-only format. ) and return on equity."
