Zucker, Chairman of Medplus Corporation, to Medplus shareholders: Dear Shareholder, I am writing to update you on your Company, Medplus Corporation (OTCBB OTCBB See OTC Bulletin Board (OTCBB). : MDPL MDPL Miami Design Preservation League MDPL Mayville District Public Library (Michigan) ), and it's current and future business activities. My name is Brian Zucker and I have recently joined the Company as its President and Chairman. I have spent the past seventeen years as a Certified Public Accountant Certified Public Accountant (CPA) An accountant who has met certain standards, including experience, age, and licensing, and passed exams in a particular state. . In fact, along with the three other new Board of Director members that have joined the Company this past April, we bring significant finance, accounting and managerial experience to the Company. On April 20, 2003, the Company filed with the SEC to be regulated as a Business Development Company (BDC (Backup Domain Controller) In a Windows NT server, a copy of the Primary Domain Controller (PDC). The BDC is periodically synchronized with the PDC. See PDC. BDC - Backup Domain Controller ), pursuant to Section 54 of the Investment Company Act of 1940. This decision was made primarily to better reflect the Company's anticipated future business and developing relationships. The Company does not intend to focus its investments in any one industry, but intends to carefully screen any and all candidates that appear to have superior investment opportunities. A Business Development Company is an investment company designed to assist eligible portfolio companies with capital formation, managerial, accounting, mergers and acquisition, and other financing services. The Company may also take a controlling position in its investment companies. The Company will offer managerial assistance to each of its Portfolio Companies and reserves the right to be compensated by the portfolio companies at market rates and or possible equity ownership for said services. The Company intends to, but is not obligated ob·li·gate tr.v. ob·li·gat·ed, ob·li·gat·ing, ob·li·gates 1. To bind, compel, or constrain by a social, legal, or moral tie. See Synonyms at force. 2. By spinning-off shares of its portfolio companies, MDPL believes it will be able to create significant value for its shareholders. The Company has recently acquired its first Portfolio Company, 3 Stray Cats The Stray Cats are a rockabilly band formed in 1979 by guitarist/vocalist Brian Setzer (Bloodless Pharaohs/Brian Setzer Orchestra) with school friends Lee Rocker (born Leon Drucker) and Slim Jim Phantom (born James McDonnell) in the Long Island town of Massapequa, New York. Marketing and Promotions, Inc. ("Stray Cats"), in the lucrative area of "Personality Licensing." The goal of the Stray Cats is to secure a Master License of a well known "full figured" female entertainment personality and turn such name and image into a brand label. In exchange for the use of the entertainment personality's name and image, to be used on an unlimited basis on a number of different products and goods, the Stray Cats would pay a royalty. The Master License would afford the Stray Cats the opportunity to arrange separate royalty agreements with other companies, who would act as sub-licensees to produce goods utilizing the brand name. In addition to sub-licensing the brand in the non-apparel area, the Stray Cats itself intends to concentrate on developing the brand in the denim related sportswear market for "full figured" women. Stray Cats sees this as an untapped potential market, because there are very limited spokespersons in this market and approximately 70% of American women are in this category. Stray Cats is headed by Orly Goldstein, who has almost 20 years of experience in the apparel industry, having held positions as high as "Division Head" at Jordache Jeans and "Executive Vice President" at Calvin Klein Noun 1. However, the success of this company will be highly dependent on substantial financings and sales of which there is no assurance. On May 22, 2003, MDPL's second Portfolio Company signed a Letter of Intent with TST TST 1 Toxic shock toxin 2 Treadmill stress test, see there Entsorgungs AG ("TST"), a Swiss Registered Company. TST is a specialist in the treatment of Hazardous, Toxic and virtually all known forms of non-desirable wastes. The original pilot plant, which was converted into a commercially viable plant at a cost in excess of US $10 million, was purchased by TST for approximately US $1.4 million during 2002. The HTV technology converts the Hazardous/Toxic waste into marketable, non-hazardous, recycled glass ceramics. For producers of hazardous waste Hazardous waste Any solid, liquid, or gaseous waste materials that, if improperly managed or disposed of, may pose substantial hazards to human health and the environment. Every industrial country in the world has had problems with managing hazardous wastes. , the HTV process of the Company offers efficient and safe processing at the similar or lower costs than common environmentally unfriendly disposal methods. TST is far ahead of its competitors, and most of these "would be competitor" companies are still in the pilot stages and have all experienced operating/processing difficulties with their various technologies. TST has the only truly commercial set-up with approval from the "Greens" and other Governments in addition to the Swiss. This commercial plant has been operating since the 1990's. TST, in accordance to its business plan, will focus on two areas of waste disposal in the foreseeable future. The Company has concluded marketing studies with its consultant ABB n. 1. In both areas TST holds a price competitive advantage to current industry competition in excess of 30%. The success of this company will be highly dependent on substantial financings and sales of which there is no assurance. Upon the successful closing of the acquisition between the Portfolio Company and TST, the Portfolio Company will own 100% of the total shares outstanding of TST. Upon giving effect for shares allocated to raise US $2 million, MDPL intends to own at lease 10% of the Portfolio Company on a fully diluted basis. As part of the terms of the proposed transaction, MDPL would spin-out 50% of these shares to you, its shareholders (record date yet to be set). MDPL will also provide to TST management and finance assistance. We are actively seeking out other opportunities and hope to share them with you as they develop. Sincerely yours Adv. 1. sincerely yours - written formula for ending a letter sincerely , Brian F. Zucker Chairman |
