McLeodUSA Announces Illinois Commerce Commission Approval of ICTC Sale.

McLeodUSA Incorporated (Nasdaq:MCLD MCLD Milestone Control Log Document ), one of the nation's largest independent competitive local exchange carriers, today announced that the Illinois Commerce Commission has approved the sale of its central Illinois-based independent local exchange carrier, Illinois Consolidated Telephone Company ("ICTC ICTC Indiana County Technology Center (Indiana, Pennsylvania)
ICTC Isabella County Transportation Commission (Michigan)
ICTC International Cities, Town Centres and Communities (Australia) 
"), to Homebase Acquisition Corp., previously announced July 17, 2002. The sale of ICTC and certain other related telecommunications businesses to Homebase is expected to close by the end of the year.

The sale of ICTC will complete the asset sales committed as part of the Company's recapitalization Recapitalization
