The Amendment will also contain a covenant by Marquee to make an election on August 15, 2007, the next semi-annual accretion date under the Indenture, to pay cash interest on the Notes. As a result, Marquee would be required to make its first cash interest payment on the Notes on February 15, 2008.

Marquee reserves the right to terminate, withdraw or amend the Consent Solicitation at any time subject to applicable law.
