Management is pleased to announce that one of its directors has agreed to a private placement of 375,000 common shares at a price of US$0.20 each, for total gross proceeds of US$75,000, to be paid by three equal installments. The Company has received the first installment. The placee has agreed to pay the second installment on April 2, 2001, and the final installment on May 7, 2001. This private placement will close on May 7, 2001, and the shares will be issued as restricted stock then.
